ApplyBoard Inc. (“ApplyBoard”) is excited to announce the STEM for Change Scholarship Program (the “Scholarship Program”), a merit-based program pursuant to which ApplyBoard will select the recipients of its STEM for Change Scholarships. These merit-based scholarships are available to women who apply through the ApplyBoard Platform via an ApplyBoard recruitment partner or ApplyBoard direct for full-time study in a science, technology, engineering or mathematics (“STEM”) program at an ApplyBoard partner school (university or college) in Canada commencing for the Fall 2021 intake, all as further set out in these Terms and Conditions (these “Terms”).

Please read these Terms in their entirety prior to applying for a Scholarship (as hereinafter defined). By applying for a Scholarship or indicating agreement to these Terms by clicking the checkbox on the Site (as hereinafter defined), each student agrees to be legally bound by these Terms and acknowledges and agrees that these Terms form a binding legal agreement between the student (or, if the student is under the age of majority in the student’s jurisdiction of residence (a “Minor”), the student’s parent or legal guardian) and ApplyBoard. If the student is a Minor, the student’s parent or legal guardian must read these Terms and indicate their acceptance by clicking the checkbox on the Site.    

By applying for a Scholarship, the student (or, if the student is a Minor, the student’s parent or guardian) agrees that ApplyBoard may, as further set out in these Terms, publicize, publicly display, broadcast, and otherwise use all or any aspects of the student’s name, photo, image, likeness, voice, biographical information (including country of residence and intended program of study and educational institution) and Video through, among other channels, ApplyBoard’s website and social media channels, for publicity, media, promotional, marketing and advertising purposes, without notice, compensation or attribution to the student. ApplyBoard has the foregoing rights with respect to any student that submits an application for a Scholarship, even if the student is not a Scholarship recipient.

1. Submission Period.

Eligible students may submit an application for a Scholarship to ApplyBoard from April 6, 2021 at 9:00 AM Eastern Standard Time to July 30, 2021, 11:59 PM Eastern Standard Time (the “Submission Period”) in accordance with these Terms. Scholarship recipients will be selected by ApplyBoard after the Submission Period as further set out below.

2. Eligibility to Apply for a Scholarship.

To be eligible to apply for a Scholarship, a student:

a) must be a woman who has submitted one or more applications through the ApplyBoard Platform (whether directly, or through an ApplyBoard recruitment partner) to study within a STEM program on a full-time basis at a Canadian college or university listed on the ApplyBoard Platform commencing in the Fall 2021 intake (the foregoing, a “Qualifying Program/School”). Such applications must be submitted prior to the end of the Submission Period;

b) must be sixteen (16) years of age or older as of the date of submitting a Scholarship application to ApplyBoard, and, if a Minor, have received the permission of a parent or legal guardian to submit an application for a Scholarship. A student who is a Minor must have the written consent of a parent or legal guardian in order to be eligible to receive a Scholarship;

c) must not be an employee, independent contractor, representative or agent of ApplyBoard or domiciled with an employee, independent contractor, representative or agent of ApplyBoard; and

d) must have read and agreed to be bound by these Terms, and if a Minor, have had the student’s parent or legal guardian read and agree to be bound by these Terms;

(such a student that satisfies the above conditions, an “Eligible Student”).

3. How to Apply.

3.1. Submission. To submit an application for a Scholarship, an Eligible Student must visit  https://www.applyboard.com/discover/stem-for-change (the “Site”) and follow the instructions on the Site to: (i) accurately and correctly complete all requested information on the web-based application form (“Application Form”); (ii) provide a video that meets the Video Content Requirements (as set out in Section 3.3) in the manner set out on the Application Form;  (iii) agree to these Terms (or, if the Eligible Student is a Minor, have the student’s parent or legal guardian agree to these Terms); and (iv) submit the completed Application Form (collectively, (i)-(iv), a “Submission”). To be considered for a Scholarship, a Submission must be (a) complete (as determined by ApplyBoard); (b) received by ApplyBoard prior to July 30, 2021 11:59 PM Eastern Standard Time; and (c) in English. Any Submission that does not meet the aforementioned criteria will be disqualified. 

3.2. Manner of Submission. Submissions may only be submitted via the Site and may not be submitted in any other manner. ApplyBoard is not responsible for any Submissions that are lost or otherwise fail to reach ApplyBoard, delayed, damaged, defaced, mislaid or illegible, howsoever caused. All Submissions will be deemed made by the student at the time it is received by ApplyBoard. There is a limit of one (1) Submission per student. Subsequent entries will be disqualified.

3.3. Video Content Requirements. As part of the Submission, an Eligible Student must film a two (2) to four (4) minute video (“Video”) in which the Eligible Student must express: (i) why they have chosen to pursue studies in a STEM program; (ii) what it means to them to be a woman and an international student studying STEM in Canada; (iii) how they plan to use their education to advance/support other women in STEM; and (iv) advice they have for women interested in studying STEM abroad (the “Video Content Requirements”).

3.4 Videos Submitted by Provision of a Web Address. To the extent the Application Form instructs Eligible Students to submit a Video by providing to ApplyBoard a web address link of the location of the Video as uploaded to a third party site, platform or channel, each Eligible Student acknowledges and agrees that:

3.4.1. ApplyBoard is not responsible for the third party site, platform or channel and has no responsibility if the third party site, platform or channel fails to maintain the Video at the web address that the Eligible Student has submitted or changes the web address at which the Video is located;

3.4.2 the Eligible Student is responsible for configuring the “sharing” or similar settings on the third party site, platform or channel such that ApplyBoard team members are able to access and view the submitted Video by clicking on the web address submitted in the Application Form;

3.4.3 if the Video is not available to ApplyBoard team members through the web address provided by the Eligible Student in the Application Form at any time at which ApplyBoard wishes to view the Video prior to the selection of Scholarship Recipients, ApplyBoard may choose to deem the Submission incomplete and disqualify the Submission, without notice to the Eligible Student; and

3.4.4. the Eligible Student will retain a functional electronic copy of the uploaded Video in a standard movie file format until the selection of Scholarship Recipients, given that provision of such Video file to ApplyBoard is a condition to being named a Scholarship Recipient.

4. Scholarship Recipient Selection Process and Conditions.

4.1. Judging of Videos. From August 2, 2021 to August 13, 2021, a panel of ApplyBoard team members will review and judge the Videos submitted by Eligible Students in accordance with these Terms. Videos will be evaluated by ApplyBoard based on the nature, quality and appropriateness of the expressed responses in the Videos to the Video Content Requirements, as well as the Eligible Students’ compliance with these Terms. ApplyBoard will identify as potential Scholarship recipients the six (6) Eligible Students that submitted the six (6) Videos which ApplyBoard has determined, in its discretion, best respond to the Video Content Requirements. Please note that to the extent an Eligible Student has posted a Video publicly on a social media channel, ApplyBoard will not be evaluating Videos based on social media likes and/or engagement. The odds of receiving a Scholarship depend on the number of Videos submitted during the Submission Period in accordance with these Terms.

4.2. Notification of Scholarship Recipients. On or around August 24, 2021, ApplyBoard will notify the six (6) Eligible Students referred to in Section 4.1 that they have been selected as potential recipients of a Scholarship, subject to these Terms. ApplyBoard will notify such potential scholarship recipients by email at the email address provided in their Application Forms (such email notice, a “Qualifying Notice”). Receipt of a Qualifying Notice does not mean that a student will receive a Scholarship. To be declared and confirmed as a recipient of a Scholarship, the student must comply with further terms and conditions as set out herein. On receipt of a Qualifying Notice, an Eligible Student will have an opportunity to be declared as a Scholarship recipient by satisfying the terms and conditions set out in Section 4.3.

4.3. Declaration as a Scholarship Recipient; Disqualification.

4.3.1. Becoming a recipient of a Scholarship is subject to and conditional on validation and verification of eligibility, compliance with these Terms and satisfaction of the terms and conditions set out in this Section 4.3. The declaration of an Eligible Student that has received a Qualifying Notice as a Scholarship recipient is subject to the following conditions:

  1. The student (and, if the student is a Minor, the student’s parent or legal guardian) must, within five (5) calendar days of the date that ApplyBoard has sent to the student the Qualifying Notice:
    1. provide to ApplyBoard by email a functional electronic copy of their previously submitted Video in a standard movie file format for ApplyBoard’s use for promotional and marketing purposes as set out herein; and
    2. sign and return by email to ApplyBoard a consent, declaration and release form that will be provided by ApplyBoard in the Qualifying Notice.
    3. The consent, declaration and release form will, among other things: (i) set out the terms and conditions with respect to the Scholarship that may be awarded; (ii) release ApplyBoard and related releasees from any and all liability in connection with the student’s Scholarship application and the awarding (or not awarding) of a Scholarship to the student; and (iii) require the student to agree to further marketing, advertising and publicity activities, including publication, disclosure and use of the student’s submitted Video, name, country of residence, school and STEM program, likeness, photograph, voice, and statements regarding the Scholarship Program, without notice or compensation, in any manner whatsoever, including print, broadcast or the internet.
  2. The student must:
    1. be an Eligible Student;
    2. have submitted through the ApplyBoard Platform one or more applications (whether directly, or through an ApplyBoard recruitment partner) to a Qualifying Program/School;
    3. receive a letter of acceptance in respect of a Qualifying Program/School;
    4. pursuant to the letter of acceptance, enroll in a Qualifying Program/School on a full-time basis commencing for the institution’s Fall 2021 intake;
    5. obtain a visa and all required approvals/permits required under applicable law in order to commence studies in the Qualifying Program/School in Canada for the Fall 2021 intake, and so long as not prohibited by law due to COVID-19 related-travel restrictions, arrive at the student’s educational institution in Canada for purposes of study on time for commencement of the institution’s Fall 2021 classes;
    6. actually commence full-time study within the Qualifying Program/School in the Fall 2021 intake (for example, without limitation, if the student defers their studies and does not commence studies in the Fall 2021 intake, or initially enrolls but subsequently cancels enrollment in the Qualifying Program/School, the student will be disqualified from eligibility for a Scholarship); and
    7. be enrolled in the Qualifying Program/School on a full-time basis for the Winter 2022 intake.

The student must provide to ApplyBoard by 11:59 PM Eastern Standard Time on September 17, 2021, proof satisfactory to ApplyBoard that the above conditions are satisfied.

  1. The student must communicate promptly and responsively with ApplyBoard so that ApplyBoard can validate and verify the student’s eligibility and compliance with these Terms and satisfaction of the conditions set out in sub-paragraphs 4.3.1(a) and (b).

4.3.2 If a student that has received a Qualifying Notice:

  1. fails to properly sign and return (and if the student is a Minor, fails to have their parent or legal guardian sign and return) to ApplyBoard the aforementioned consent, declaration and release form within the timeline specified above;
  2. fails to provide a functional electronic copy of their previously submitted Video in a standard movie file format within the timeline specified above;
  3. does not satisfy any one or more of the conditions set out in sub-paragraph 4.3.1(b), or fails to provide proof satisfactory to ApplyBoard (as determined by ApplyBoard in its sole discretion) that such conditions are satisfied by the deadline specified above;
  4. does not respond to a request by ApplyBoard for information or additional documentation within five (5) calendar days of the date of ApplyBoard’s request therefor;
  5. cannot accept a Scholarship for any reason;
  6. has submitted or communicated any information (whether in its Submission or in subsequent communication with ApplyBoard or a recruitment partner) that ApplyBoard reasonably believes is untrue, misleading, deceptive or fraudulent; 
  7. in the reasonable opinion of ApplyBoard, violated applicable laws, or if ApplyBoard reasonably believes that payment of the Scholarship to the student would violate applicable laws or the rights of any third party or be the subject of a claim or any litigation; or
  8. fails to comply with or breaches these Terms (including breaching the representations and warranties herein),

then the student will be disqualified (and will be deemed to forfeit all eligibility and opportunity to receive a Scholarship). In such a case, ApplyBoard reserves the right (but has no obligation) to select an alternate potential Scholarship recipient from all remaining eligible Submissions by selecting the Video that ApplyBoard determines, in its discretion, best responds to the Video Content Requirements (apart from the Videos submitted by the Eligible Students that already received a Qualifying Notice). In such case, the provisions of Section 4.2 and this Section 4.3 will apply with respect to such alternate potential Scholarship recipient.

4.3.3. If an Eligible Student that has received a Qualifying Notice has complied with these Terms and satisfies the conditions set out in Section 4.3.1 and is not disqualified pursuant to these Terms, such student will be declared a recipient of a Scholarship. The specific Scholarship to be awarded to such student (subject to these Terms) is based on how ApplyBoard has evaluated the student’s Video in responding to the Video Content Requirements, relative to the other Scholarship recipients.

4.4. Scholarship Recipient Announcement. The declared recipients of Scholarships will be invited to attend a virtual event hosted by ApplyBoard on or around October 7, 2021, where they will be officially recognized by ApplyBoard as Scholarship recipients. Declaration of a student as a Scholarship recipient does not unconditionally entitle or guarantee the student a Scholarship. ApplyBoard reserves the right to disqualify a declared Scholarship recipient and not award such disqualified students a Scholarship as set out in Section 5.4.

5. Scholarships.

5.1. Scholarship Awards. The following six (6) scholarships (“Scholarships”) are available to be awarded in accordance with and subject to these Terms:

  1. two (2) Scholarships, each of C$15,000;
  2. two (2) Scholarships, each of C$10,000; and
  3. two (2) Scholarships, each of C$5,000.

Subject to these Terms, the foregoing Scholarships will be awarded to the six (6) Eligible Students who ApplyBoard has determined, at its discretion, submitted the Videos which best respond to the Video Content Requirements and who have then been validated as eligible and declared as Scholarship recipients pursuant to Section 4.3 (such students, the “Scholarship Recipients”). The specific Scholarship to be awarded to a particular Scholarship Recipient will be based on how ApplyBoard has evaluated the Scholarship Recipient’s submitted Video relative to the other Scholarship Recipients.

All amounts in these rules are in Canadian Dollars. Each student applying for a Scholarship acknowledges that ApplyBoard shall not be required under any circumstances to award more scholarships that the number of available Scholarships set out in these Terms. In the event there are not enough eligible Submissions, there are not six (6) students that are confirmed as scholarship recipients pursuant to Section 4.3, or a Scholarship Recipient is disqualified in accordance with these Terms, all the available Scholarships above may not be awarded.

5.2. Payment of Scholarships. Subject to these Terms, ApplyBoard will award the Scholarships to the Scholarship Recipients in January 2022 in the manner determined by ApplyBoard at its discretion. Scholarship Recipients will be required to have a Canadian bank account in order to receive the Scholarship. ApplyBoard will only award the Scholarship to the Scholarship Recipient or the Scholarship Recipient’s parent or legal guardian. Scholarships must be accepted as awarded and are not exchangeable or substitutable. Scholarships cannot be assigned or transferred to a third party. ApplyBoard is not responsible for any Scholarship Recipient’s failure to receive a Scholarship due to the Scholarship Recipient’s provision of incorrect or incomplete information to ApplyBoard or failure to undertake the actions required in order to accept the Scholarship.

5.3. Taxes. Scholarship Recipients are solely responsible for payment of any applicable taxes and reporting any taxable income associated with the Scholarships (if any).

5.4. Conditions Precedent to Payment. Notwithstanding that a student has been declared a Scholarship Recipient, if:

  1. the Scholarship Recipient does not provide ApplyBoard with proof satisfactory to ApplyBoard (determined by ApplyBoard in its sole discretion) that the Scholarship Recipient is in good academic standing in the Qualifying Program/School and has intention to continue full-time studies in the Qualifying Program/School in Winter 2022;
  2. ApplyBoard discovers that the Scholarship Recipient communicated or submitted any untrue, misleading, deceptive or fraudulent information in its Submission or in subsequent communications between the student and ApplyBoard;
  3. ApplyBoard discovers that the Scholarship Recipient has violated applicable laws, or ApplyBoard reasonably believes that awarding of the Scholarship to the Scholarship Recipient would violate applicable laws or the rights of any third party or be the subject of a claim or any litigation; or
  4. ApplyBoard discovers that the Scholarship Recipient otherwise failed to comply with or breached these Terms (including breaching the representations and warranties made herein),

then, ApplyBoard reserves the right to disqualify the Scholarship Recipient and not award to the Scholarship Recipient the Scholarship that the Scholarship Recipient otherwise would have been eligible to receive if not for disqualification pursuant to these Terms.

6. License to Student Materials; Intellectual Property; Publicity; Other Video Requirements

6.1. License to Use Student Materials and Publicity. By submitting a Submission to apply for a Scholarship, each student (or, if the student is a Minor, the student’s parent or legal guardian) grants to ApplyBoard and any person acting within ApplyBoard’s authority and permission (the “Licensees”) a perpetual, non-exclusive, irrevocable, royalty-free, transferable, worldwide license, permission, authorization and right to publish, post, broadcast, publicize, display, disclose, reproduce, modify, edit, alter, create derivative works of or otherwise use any or all aspects of the student’s submitted Video, the student’s name, photograph, image, likeness, biographical information (including country of residence, and the name of the institution and program at which the student will study), any statement the student made in the Video or otherwise regarding the Scholarship Program and/or the student’s voice (collectively, the “Student Materials”), in any medium (including, but not limited to, print and electronic media) and format (including text, photograph, audio and/or video) and through any channel or platform, including but not limited to through press releases, ApplyBoard’s website, social channels and other promotional channels, for publicity, media, marketing, promotional and advertising purposes, in all cases, without any attribution or compensation to the student. Under the foregoing license, ApplyBoard may alter, modify or create derivative works from the Student Materials and undertake the activities described in this Section 6.1 with respect to the Student Materials, as altered or modified by ApplyBoard. Each student (or, if the student is a Minor, the student’s parent or legal guardian) waives any right to review or approve any derivative works made by ApplyBoard from the Student Materials and/or alterations or changes made by ApplyBoard to the Student Materials.

6.2. Intellectual Property. As between ApplyBoard and the student: (i) the student is the owner of the Video that the student has submitted to ApplyBoard, and licenses the Video to ApplyBoard pursuant to Section 6.1; and (ii) ApplyBoard is the exclusive owner of all right, title and interest in all derivative works created by ApplyBoard from the Student Materials, including all intellectual property rights. The student waives all moral rights in the Student Materials in favour of ApplyBoard.

6.3. Rights Granted by all Students. For certainty, the license and rights granted to ApplyBoard in this Section 6 are granted by all students submitting a Submission to apply for a Scholarship; not only Scholarship Recipients.

6.4. Other Video Requirements. Each student (or, if the student is a Minor, the student’s parent or legal guardian) represents and warrants to ApplyBoard that the Video submitted by the student: (i) is not defamatory, libelous, offensive, disparaging or threatening, and does not contain any content that is inappropriate, indecent, profane, tortious or discriminatory, and does not promote hatred or harm against any individual or group; (ii) does not contain any content, material or element that is unlawful or otherwise in violation of applicable laws; (iii) does not contain any contain, material or element that displays any advertising, slogan, logo, or trademark, or otherwise indicate a sponsorship or endorsement by any commercial entity; (iv) is an original, unpublished work solely created by the student, and that all right, title and interest (including copyright) therein and thereto is owned solely and exclusively by the student (and/or the student’s parent or legal guardian), and that the student has the right to submit the Video and grant the license contemplated by these Terms; (v) has not been previously submitted for any other scholarship; (vi) does not contain any content, element or material that infringes, violates or misappropriates any third party proprietary rights, intellectual property rights, industrial property rights, personal or moral rights or any other rights, including without limitation, copyright, trademark, trade names, industrial designs, patent, trade secret, privacy, publicity or confidentiality obligations; and (vii) is not subject to any actual or threatened litigation or claim. Each student (or, if the student is a Minor, the student’s parent or legal guardian) represents and warrants to ApplyBoard that all consents required under applicable law have been obtained for the collection, disclosure and use in accordance with these Terms of any personal information included in the Application Form and Video submitted by the student. ApplyBoard reserves the right to disqualify any student from eligibility for a Scholarship on the basis that ApplyBoard reasonably believes that any of the foregoing representations and warranties have been breached or are untrue.

7. Release, Exclusion of Liability and Indemnification.

To the fullest extent permitted by law, each student and/or purported student (and, if the student is a Minor, the student’s parent or legal guardian) irrevocably waives all rights relating to any and all claims and actions of whatever nature or kind arising in connection with the Scholarship Program, these Terms, and ApplyBoard’s use of the student’s Student Materials (including the student’s Video, name, likeness and personal information as contemplated in these Terms), covenants not to bring any such claim or action against ApplyBoard, its affiliates, or their respective directors, officers, shareholders, employees, agents, representatives and independent contractors (“ApplyBoard Releasees”) and forever releases, discharges and agrees to hold harmless the ApplyBoard Releasees from any and all liability or damages of whatever nature or kind for any such claim or action. Each student and/or purported student (and, if the student is a Minor, the student’s parent or legal guardian) agrees to fully indemnify and hold harmless the ApplyBoard Releasees from any and all third party claims, actions, liabilities or damages of whatever nature or kind arising in connection with the student’s Submission, Student Materials or other acts and omissions in connection with the Scholarship Program or breach or failure to comply with these Terms (including, for certainty, breach of the representations and warranties made to ApplyBoard herein).

8. General Terms.

8.1. Right to Amend. ApplyBoard reserves the right, in its sole discretion, to amend these Terms without prior notice.

8.2. Right to Modify, Cancel or Terminate. ApplyBoard reserves the right, in its sole discretion, to void any Submission and/or withdraw, cancel, suspend, modify, extend or terminate the Scholarship Program in whole or in part in any way at any time without prior notice in the event of an accident or error of any kind (whether technical, administrative or otherwise), technical problem, computer virus, bug, tampering, unauthorized intervention, fraud, technical failure, government orders related to the COVID-19 pandemic, occurrence of any event outside the reasonable control of ApplyBoard or any other cause which ApplyBoard determines in its sole discretion, interferes with or affects the proper conduct, security, fairness or integrity of the Scholarship Program. Without limiting the foregoing, ApplyBoard reserves the right, in its sole discretion, and without prior notice, to adjust any of the dates and/or timeframes set out in these Terms, to the extent reasonably necessary, for purposes of verifying compliance by any student with these Terms, or as a result of technical problems, or in light of any other circumstances which, in the opinion of ApplyBoard in its sole discretion, affect the proper administration of the Scholarship Program.

8.3. Costs. Any and all costs and expenses incurred in connection with applying for or receiving a Scholarship are the sole responsibility of students.

8.4. Minors. For greater certainty, where a selected student is a Minor, as a pre-condition to the selected student being declared a Scholarship Recipient and receiving a Scholarship, the parent or legal guardian of the student must consent in writing to the student being declared a Scholarship Recipient and receiving a Scholarship and must also sign and return to ApplyBoard a form of consent, declaration and release pursuant to Section 4.3.

8.5. ApplyBoard Decisions. The decisions of ApplyBoard with respect to all aspects of this Scholarship Program are final and binding on all students without right of appeal, including, without limitation, any decisions regarding the eligibility/disqualification of students and/or Submissions and the evaluation and judging of Videos.

8.6. Applicable Laws. This Scholarship Program is subject to all applicable federal, provincial, state, municipal and local laws and regulations. The Scholarship Program is void where prohibited.

8.7. Internet and Disclaimer. The ApplyBoard Releasees are not responsible for any malfunction of the Site or any late, lost, damaged, misdirected, incomplete, illegible, undeliverable, or destroyed Videos or Application Forms due to system errors, failed, incomplete or garbled computer or other telecommunication transmission malfunctions, hardware or software failures of any kind, lost or unavailable network connections, typographical or system/human errors and failures, technical malfunction(s) of any network or lines, cable connections, satellite transmissions, servers or providers, or computer equipment, traffic congestion on the Internet or at the Site, or any combination thereof, including other telecommunication, cable, digital or satellite malfunctions which may limit the student’s ability to submit a Submission. The ApplyBoard Releasees are not responsible for the policies, actions, or inaction of others, which might prevent the student from making or submitting a Submission, being eligible for a Scholarship, and/or receiving a Scholarship.

8.8. Compliance with Laws and Terms; Untrue Statements; Unfair Practices.

8.8.1. All students submitting a Submission must comply with applicable laws and these Terms. ApplyBoard reserves the right to immediately disqualify a student from eligibility to receive a Scholarship if ApplyBoard reasonably believes that the student has violated or breached applicable laws or any provision of these Terms (including, for certainty, breached the representations and warranties made under these Terms).

8.8.2. All students submitting a Submission must provide only true and accurate information in their Submissions and communications with ApplyBoard. ApplyBoard reserves the right to immediately disqualify from eligibility to receive a Scholarship any student that ApplyBoard reasonably believes has provided or communicated any false, untrue, misleading, deceptive or fraudulent information, whether in the Submission or in other communications to ApplyBoard or an ApplyBoard recruitment partner.

8.8.3. ApplyBoard reserves the right to immediately disqualify from eligibility to receive a Scholarship any student that ApplyBoard reasonably believes has (i) attempted to undermine or interfere with the Scholarship Program in any manner, including by cheating, deception, tampering with the Site, Submission process or any other aspect of the Scholarship Program, or undertaken any other unfair practices; or (ii) annoyed, abused, threatened or harassed other students or ApplyBoard.

8.9. Privacy.  Each student consents to and expressly agrees that its personal data submitted with a Submission, including, without limitation, its name, country of residence and email address may be collected, processed, stored and otherwise used by ApplyBoard and its agents and/or representatives for the purposes of conducting and administering the Scholarship Program and communicating with the student with respect thereto. Each student further consents and agrees to disclosure, publicizing and other use of certain of its personal information as set out in Section 6 of these Terms.

8.10. Notices. ApplyBoard will provide any notices contemplated by these Terms by email to the email address specified by each student in its Application Form. Such notices shall be deemed effective and received by a student at the time they are sent by ApplyBoard, as recorded by ApplyBoard. ApplyBoard is not responsible for any failure by a student to receive an email sent by ApplyBoard for whatever reason, including, without limitation, due to any automatic spam-filtering that may be applied by a student, its email provider or its internet service or network provider. If a student has any questions regarding the Scholarship Program or these Terms, the student may contact ApplyBoard at stemforchange@applyboard.com.

8.11. Governing Law and Forum. These Terms will be governed by the laws of Ontario and the federal laws of Canada applicable therein, without giving effect to any choice-of-law rules that may require the application of the laws of another jurisdiction. All disputes arising out of or in connection with these Terms or the Scholarship Program shall be resolved exclusively in the jurisdiction and venue of the courts in Toronto, Ontario and each student irrevocably consents to such jurisdiction and venue.

8.12. Severability; Waiver. In the event that any provision of these Terms, or part thereof, is deemed, invalid, illegal or unenforceable by a court, these Terms will continue in force with respect to the enforceable provisions, and any non-enforceable provision will, to the extent permitted by law, be replaced by a provision which, being valid, comes closest to the intention underlying the invalid, illegal or unenforceable provision. No failure or delay by ApplyBoard in exercising any right or enforcing any provision of these Terms will constitute a waiver of that right or provision. A waiver of any default, breach or non-compliance under these Terms is not effective unless in writing and signed by ApplyBoard. The waiver by ApplyBoard of any default, breach or non-compliance under these Terms will not operate as a waiver in respect of any continuing or subsequent default, breach or non-compliance (whether of the same or any other nature).

8.13. Social Media Disclaimer. The Scholarship Program is in no way sponsored, endorsed, administered by or associated with Facebook, Twitter, YouTube or any social media platform. All such third parties are released of any liability by each student in this Scholarship Program. All questions, comments or complaints regarding the Scholarship Program must be directed to ApplyBoard and not to such third parties.

8.14. Force Majeure. ApplyBoard will not be liable for delays caused by any event beyond its reasonable control, including, for example, an act of God, act of government, pandemic, epidemic, flood, fire, earthquake, civil unrest, act of terror, strike or other labor problem, Internet service provider failure or delay or denial of service attack.

8.15. Interpretation. The term “includes” and “including” mean, respectively, “include without limitation” and “including without limitation”. Headings are for reference purposes only and have no substantive effect.
